Applicable to US wholesale customers only. Effective from the date of account registration. All purchases constitute acceptance of these terms. Luna Bronze reserves the right to update, modify or amend these Terms & Conditions at any time at its sole discretion.

1. Ordering Requirements

• Opening Order Minimum: The minimum opening order for new retailers is $2,000 USD before any applicable taxes and shipping. This threshold applies to a retailer's first purchase only.

• Subsequent Orders: There is no minimum order value for reorders.

• Minimum Order Quantity (MOQ): Each product has an MOQ as listed in the Wholesale Terms and Conditions (Schedule A). All products must be ordered in increments of this quantity. 

2. Pricing

• All prices are listed in USD and are exclusive of shipping and any applicable taxes.

• Luna Bronze reserves the right to adjust pricing at any time without prior notice. Prices confirmed at the time of order placement will apply to that order.

3. Shipping & Freight

• Free Shipping: Orders with a subtotal of $500 USD or more qualify for complimentary (free) standard shipping within the contiguous United States*.

• Flat Rate Shipping: Orders below $500 USD will incur a flat shipping fee of $35 USD.

• Shipping fees are not included in the order subtotal and will be applied separately at checkout or invoicing.

• A dispatch timeframe of 2–3 business days applies to all orders from the date of payment confirmation.

• A tracking confirmation will be sent automatically to your account email address once your order has shipped.

• Luna Bronze is not responsible for delays caused by carriers once goods have been dispatched. Any shipping-related issues should be raised within 5 business days of the expected delivery date, including damaged or missing parcels.

• Orders are fulfilled from our California warehouse. Business days refer to California business days and exclude federal and Californian public holidays.

*Excludes Armed Forces bases, Alaska and Hawaii.

4. Payment Terms

• Payment must be made in full in order for the order to be processed.

• Accepted payment methods include all major credit and debit cards (Visa, Mastercard, and American Express). PayPal and Afterpay are not available for wholesale orders.

5. Taxes

• All prices are exclusive of sales tax.

• An order confirmation will be provided via email detailing the total cost, including any applicable taxes and shipping fees.

• Retailers are responsible for providing a valid reseller/exemption certificate where requested by Luna Bronze.

6. Authorised Sales Channels

• Products purchased under this wholesale agreement may not be sold on Amazon, eBay, or any other third-party online marketplace without prior written consent from Luna Bronze.

• Retailers are authorised to sell Luna Bronze products in-store and via their own branded website only.

• Violation of this policy may result in immediate account termination and cancellation of pending orders.

7. Damaged & Defective Products

• Any claims for damaged or defective products must be submitted within 5 business days of receiving the order by emailing sales@lunabronze.com.au

• Claims must include your order number, a description of the issue, and supporting photographs of the damaged or defective item(s) and packaging.

• Luna Bronze reserves the right to assess claims and determine the appropriate resolution, which may include replacement, credit, or refund at our discretion.

• Please note that claims submitted after the 5 business day window, or without sufficient supporting evidence, may not be eligible for review. We encourage you to get in touch with us as soon as an issue is identified so we can help resolve it promptly.

8. Returns & Exchanges

• All sales are final. Returns and exchanges are not accepted unless the product is defective or damaged upon arrival (see Section 7).

• Unauthorised returns will not be accepted.

• Luna Bronze is unable to accept returns or issue credit notes for products that have been returned by an end-consumer to the retailer, including those returned due to allergic reaction, skin sensitivity, or personal preference. We encourage retailers to review ingredient information with their customers prior to purchase to minimise this risk.

9. Brand & Intellectual Property

• Retailers must use Luna Bronze-approved imagery, copy, and branding materials when marketing products.

• Unauthorised use of the Luna Bronze name, logo, or trademarks is strictly prohibited.

10. Account & Relationship

• Luna Bronze reserves the right to approve or decline wholesale account applications at its sole discretion.

• Luna Bronze reserves the right to terminate a wholesale account for breach of these Terms & Conditions, non-payment, or conduct deemed harmful to the brand.

• Approved wholesale accounts are authorised retailers of Luna Bronze, not partners or representatives of the brand. Retailers must not imply any formal partnership, endorsement, or affiliation beyond that of an authorised stockist, whether in marketing materials, on their website, or in any public communications.

11. Privacy & Data

• Customer data collected during the ordering process is handled in accordance with Luna Bronze's Privacy Policy.

• By placing an order, you consent to Luna Bronze retaining your business contact details for account and communication purposes.

12. Governing Law

• These Terms & Conditions are governed by the laws of Delaware, United States. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of Delaware, United States.

13. Agreement

• By submitting an order or signing up for a wholesale account, you confirm that you have read, understood, and agreed to these Terms & Conditions in full.

• By submitting an order or registering for a wholesale account, you agree not to initiate a chargeback with your bank or financial institution without first contacting Luna Bronze to resolve the matter directly. Please refer to Sections 3, 7 and 8 for our shipping, claims and returns policies.

• These terms supersede any prior verbal or written agreements relating to the wholesale supply of Luna Bronze products.
